Terms of Service

These terms govern use of the Bus IQ Maximizer website and platform. A district's signed agreement or pilot order, where one exists, controls over anything below that conflicts with it.
The Service
Bus IQ Maximizer is an intelligence layer that reads data from a district's existing transportation systems and produces scores, insights, opportunities, scenarios, and reports. It is not routing software, it does not plan or dispatch routes, and it is not a vehicle tracking service.
District Data and Ownership
A district retains all rights to the data it provides. We use it only to deliver and support the service for that district, as described in our Privacy Policy. We retain ownership of the platform, its models, and its interfaces.
Acceptable Use
Access is limited to authorized district staff and designated partners. Accounts may not be shared, and the platform may not be reverse engineered, resold, or used to build a competing product. Districts are responsible for maintaining the accuracy of the rules, rates, and constraints they enter.
Insights, Estimates, and District Decisions
Scores, savings figures, and scenario outcomes are estimates produced from the data available, with stated assumptions and confidence levels. They are decision support, not guarantees of financial or operational results.
Every operational decision, including any change to routes, schedules, staffing, or fleet, remains the district's responsibility, including compliance with applicable law, accessibility requirements, collective agreements, and student safety obligations.
Pilots and Fees
Pilot scope, duration, deliverables, and fees are set out in the applicable order. Unless that order says otherwise, fees are invoiced as stated there and are exclusive of taxes.
Confidentiality
Each party protects the other's non-public information with reasonable care and uses it only for the purposes of the engagement. Public data and information a party already lawfully holds are excluded.
Availability and Warranties
We work to keep the platform available and accurate but provide it without implied warranties of merchantability or fitness for a particular purpose, except where an executed agreement states otherwise.
Limitation of Liability
Neither party is liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees paid for the service in the twelve months preceding the claim, except where an executed agreement states otherwise.
Term and Termination
Either party may terminate as provided in the applicable order or, absent an order, at any time. On termination we delete or return district data at the district's direction.
Changes to These Terms
If we make material changes, we will update the date above and notify districts with an active agreement.
